Terms of Service

Last updated: October 4, 2026

These Terms of Service ("Terms") govern your use of the website at cliffego.com (the "Site") operated by Tej Joshi ("Cliffego," "we," "us," "our"), and set out the general framework that applies to inquiries you make through the Site. By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. What these Terms cover — and don't

These Terms govern your use of this website and the general terms on which we accept and respond to project inquiries. They are not, by themselves, a contract for us to perform any specific work for you.

If we agree to work together, the specific scope, deliverables, pricing, milestones, and any deposit, cancellation, or refund terms for that engagement will be set out in a separate, individually signed proposal or statement of work ("SOW"). Where a signed SOW conflicts with these Terms on a matter it specifically addresses, the SOW controls for that engagement.

2. Eligibility and acceptable use

You must be able to form a binding contract to use this Site to submit an inquiry (generally, an adult acting for yourself or with authority to act for a business). You agree not to:

• misuse the Site's infrastructure, attempt to gain unauthorized access to it, or interfere with its normal operation;

• submit false, misleading, or fraudulent information through the contact form;

• use the contact form to send unsolicited advertising, spam, or malicious content; or

• copy, scrape, or reproduce substantial portions of the Site's content or code without our permission.

3. Content on this Site is informational, not a guarantee

Descriptions of our services, process, and capabilities on this Site (including on the Services, Solutions, Process, and About pages) are provided to help you understand what we generally do and how we generally work. They describe our typical approach and are not a warranty, a guarantee of outcome, or a binding offer for any specific project.

Any specific commitment — scope, price, timeline, or deliverable — is only binding once set out in a signed proposal or SOW referencing these Terms.

4. Inquiries, Quotations, and the Onboarding Process

Submitting the contact form is an inquiry, not an order or a contract. Following your inquiry, we adhere to a structured process to ensure project alignment:

• Audit & Proposal: We may first provide a Website Audit Report outlining what is currently working and what needs improvement. Following this, we will issue a formal Website Proposal detailing the client goals, proposed solution, project scope, timeline, and pricing.

• Engagement & Agreement: To proceed, we will provide an Engagement Letter confirming our mutual understanding, alongside a formal Website Service Agreement which governs intellectual property, confidentiality, cancellation, and liability. A proposal or quotation is valid only for the period stated in it and does not bind either party until both parties sign the service agreement.

• Invoicing & Kickoff: Upon signing, we will issue an Invoice for the initial deposit. Once the deposit is received, we will send a Client Onboarding Questionnaire to gather your business basics, target audience details, brand assets, and technical access information.

5. Payment terms (for signed engagements)

Where we've agreed to carry out work for you, invoices are due according to the milestone schedule set out in your signed proposal or SOW. We do not currently process payments through this Site, and no purchase, subscription, or checkout happens here — payment arrangements are handled directly between you and Cliffego as part of your specific engagement.

We do not currently publish a general cancellation or refund policy on this Site. If your SOW includes cancellation or refund terms, those govern; if it doesn't, cancellation and any refund will be discussed and agreed between the parties in good faith.

6. Intellectual property

This Site. The text, design, graphics, and code that make up this Site are owned by Cliffego (or licensed to us) and are protected by copyright and other laws. You may view and use the Site for your own personal or internal business evaluation of our services; you may not copy, republish, or create derivative works from it without our written permission.

Client project work. Upon full and final payment for a specific engagement, you receive ownership rights to the custom code and designs created specifically for your project, as further detailed in the applicable SOW. Pre-existing tools, libraries, frameworks, and general know-how that we bring to or develop during a project remain ours (or their respective owners') and are licensed to you for the applicable purpose where needed.

7. Your responsibilities as a client

If we're engaged to work with you, you agree to provide timely feedback, necessary assets, access credentials, and information reasonably required for us to deliver the agreed work. Delays in providing these may delay delivery and are not treated as a failure on our part.

8. Third-party services and links

This Site loads webfonts from Google; contact-form submissions are stored in Google Sheets and notified to us by email via Resend — see our Cookies & Local Storage Policy and Privacy Policy for detail. Project work may involve integrating third-party platforms or APIs, which are subject to those providers' own terms and availability, and which we don't control. Any links from this Site to third-party websites are provided for convenience; we aren't responsible for the content or practices of sites we don't operate.

9. Disclaimers

This Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such warranties cannot be excluded by law.

We don't guarantee that the Site will be uninterrupted, error-free, or secure, or that any particular business outcome will result from using our services. Nothing on this Site is professional, legal, financial, or medical advice.

10. Limitation of liability

To the maximum extent permitted by applicable law, Cliffego will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of this Site. Where liability cannot be fully excluded by law, our total liability arising from your use of this Site (as distinct from any signed SOW, which governs liability for that engagement separately) is limited to the greater of the amount you paid us for use of the Site (typically zero, as the Site itself is free to use) or the minimum amount permitted by applicable law.

11. Indemnification

You agree to indemnify and hold Cliffego harmless from claims, damages, and reasonable expenses arising from your misuse of the Site, your violation of these Terms, or content you submit through the Site that infringes a third party's rights or violates the law.

12. Termination

We may suspend or restrict your access to the Site if we reasonably believe you've violated these Terms. Either party may terminate a signed engagement under the conditions set out in that engagement's SOW.

13. Changes to these Terms

We may update these Terms from time to time, and will update the "Last updated" date above when we do. Changes apply prospectively from the date they're posted; they don't retroactively alter the terms of a SOW you've already signed.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory local consumer-protection law requires otherwise.

We encourage resolving disagreements informally first — contact us at tjoshi@cliffego.com or by phone at +91 8401907776. Any dispute that can't be resolved this way will be subject to the exclusive jurisdiction of the courts of Vadodara, Gujarat, India, except where applicable law gives you the right to bring a claim in your home jurisdiction.

15. Severability, waiver, and entire agreement

If any part of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. These Terms, together with your applicable SOW (if any) and our Privacy Policy, are the entire agreement between you and Cliffego regarding the Site and supersede prior discussions about it.

16. Electronic communications and notices

By using this Site, you consent to receive communications from us electronically, including by email. Legal notices to us should be sent to our registered address at Velani Heights, near Jupiter Hospital, Atladara, Vadodara, Gujarat, India 390012, or via email to tjoshi@cliffego.com.

17. Contact

Questions about these Terms can be sent to tjoshi@cliffego.com, by phone at +91 8401907776, or via our Contact page.
